User Indemnification:

The User agrees to indemnify, defend, and hold harmless My Local Builders, its affiliates, officers, directors, employees, agents, and representatives (collectively referred to as “Indemnified Parties”) from and against any and all claims, demands, liabilities, losses, expenses, and costs (including reasonable attorney’s fees) arising out of or in any way related to:

  1. User’s use or misuse of the My Local Builders platform.
  2. Violation of any term or condition of this Agreement.
  3. User’s violation of any third-party right, including without limitation any copyright, property, or privacy right.
  4. The client acknowledges and agrees that My Local Builders is not responsible for any kind of crime, theft, or illegal activities that may occur during or in between the execution of the contracted job. The contractors engaged in the job are considered independent entities, and any issues related to criminal activities are outside the scope of our liability.
  5. In no event shall My Local Builders or its affiliates, officers, and/or employees be liable with respect to My Local Builders for (i), in the aggregate, any amount in excess of the fees paid by you to subscribe to My Local Builders (ii) lost profits, lost data, o failure to meet any duty including without limitation good faith and reasonable care arising out of your access to or use My Local Builders; or (iii) any direct, indirect, incidental, punitive, special, exemplary, or consequential damages of any kind whatsoever.
  6. Under no circumstances will My Local Builders. be responsible for any loss or damage, including any loss or damage or personal injury or death, resulting from anyone’s use of our Platform/website or Services. My Local Builders reserves the right to change any Content, software, and other items used or contained in our Platform/website or Services at any time without notice. Reference to any products, services, processes, or other information by trade name, trademark, manufacturer, supplier, or otherwise does not constitute or imply endorsement, sponsorship, or recommendation thereof, or any affiliation therewith, by our Platform/website, by third parties or by any of the equipment or programming associated with or utilized by our Services.

Notification and Defense:

The Indemnified Parties shall promptly notify the User of any claim or demand that triggers the indemnification obligation under this Clause. The User shall have the right to assume the defense and control of any such matter, with counsel reasonably acceptable to the Indemnified Parties.

Settlement:

The User shall not settle any claim or action without the prior written consent of My Local Builders, which shall not be unreasonably withheld. The Indemnified Parties shall have the right to participate in the defense at their own expense.

Limitation of Warranties

The information on this Platform/website is provided “as is” without any representations or warranties, express or implied. My Local Builders makes no representations or warranties.

Without prejudice to the generality of the foregoing paragraph, My Local Builders does not warrant that:

  • The information regarding Services on this Platform/website will be constantly available, or available at all.
  • The information on this Platform/website is complete regarding Different Services; it is true, accurate, up-to-date, or non-misleading.

Please be also aware that when you leave our Platform/website, other sites may have different privacy policies and terms that are beyond our control. This agreement shall be governed by and construed in accordance with the laws of the province of Alberta, Canada. Any disputes arising from or in connection with this agreement shall be subject to the exclusive jurisdiction of the courts located in Alberta.
